TERMS OF SERVICE

These Terms of Service (the "Terms") govern your access to and use of https://www.aimusicgens.com, our applications, tools, features, and related services (collectively, the "Services") operated by AIMusicGens ("AIMusicGens," "we," "us," or "our").

Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you use the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity, and "you" includes both you and that entity.

1. Who May Use the Services

You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction, you may use the Services only with permission from a parent or legal guardian who agrees to these Terms on your behalf. Children under 13 are not permitted to use the Services.

You may not use the Services if you are prohibited from doing so under applicable law or if we have previously suspended or terminated your access.

2. Accounts

You may need an account to use certain features. You agree to provide accurate and current information, keep your login credentials secure, and promptly notify us if you believe your account has been compromised.

You are responsible for activities that occur under your account, except where caused by our failure to use reasonable security measures.

3. The Services

AIMusicGens provides AI-powered music, lyric, audio, and related creative tools. Features may include text-to-music generation, lyrics-to-song generation, instrumental generation, vocal or stem tools, audio editing, downloads, project history, and related workflows.

We may modify, suspend, discontinue, limit, or add features at any time. We will try to provide reasonable notice when practical, but some changes may occur without notice for security, legal, operational, or product reasons.

4. User Input and Generated Output

You may submit prompts, lyrics, audio, images, files, settings, instructions, and other materials to the Services ("Input"). The Services may generate songs, lyrics, instrumentals, audio, metadata, or other content based on your Input ("Output").

As between you and AIMusicGens, you retain rights you already have in your Input. Subject to your compliance with these Terms, your subscription plan, and any applicable license terms, AIMusicGens does not claim ownership of your Output. Any commercial usage rights, ownership-transfer package, or certificate eligibility are granted only to the extent described in the current License Agreement and the active plan terms that apply to your account. To the extent AIMusicGens obtains any rights in Output generated for you, we assign those rights to you only within those plan and license limits and to the extent permitted by applicable law and provider terms.

Because AI systems may generate similar or identical output for different users, Output may not be unique. You are responsible for reviewing Output before using, publishing, distributing, monetizing, or commercially exploiting it. You should consider whether you need additional permissions, clearances, or licenses from third parties.

We do not guarantee that Output is accurate, original, non-infringing, suitable for commercial use, or free from third-party claims.

5. Your Content License to Us

You grant AIMusicGens a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and use your Input, Output, and other content only as reasonably necessary to:

  • Provide, operate, maintain, and improve the Services.
  • Process your generation, editing, storage, and download requests.
  • Maintain account history and support user-requested workflows.
  • Provide customer support and troubleshoot issues.
  • Detect, prevent, and respond to abuse, fraud, security incidents, and legal obligations.
  • Enforce these Terms and protect the Services.

You represent that you have the rights, permissions, and authority needed to submit your Input and grant this license.

6. Subscriptions, Credits, and Billing

Some Services require payment, a subscription, or credits. Prices, features, limits, renewal periods, and plan details are shown at checkout, on the pricing page, or inside the product.

By purchasing a paid plan or credits, you agree to pay all applicable fees, taxes, and charges. You authorize us and our payment processors to charge your selected payment method.

Subscriptions renew automatically unless canceled before the renewal date. If you cancel, your subscription remains active until the end of the current billing period unless stated otherwise. We may change prices or plan features with reasonable notice where required by law.

If payment fails, we may suspend or limit access to paid features. You are responsible for ensuring your billing information remains accurate and current.

Refunds are governed by our Refund Policy.

7. Acceptable Use

You agree not to use the Services to:

  • Violate any law, regulation, contract, or third-party right.
  • Upload or generate content that is illegal, abusive, hateful, harassing, exploitative, deceptive, defamatory, obscene, or otherwise harmful.
  • Infringe or misappropriate copyrights, trademarks, publicity rights, privacy rights, trade secrets, or other rights.
  • Impersonate another person or misrepresent your identity, affiliation, or authority.
  • Submit content that contains malware, harmful code, or attempts to disrupt systems.
  • Interfere with, overload, damage, or bypass the Services or related infrastructure.
  • Scrape, crawl, harvest, or extract data except as permitted by these Terms or written permission.
  • Reverse engineer, copy, modify, sell, resell, or create derivative works from the Services or our proprietary technology.
  • Use Input or Output to develop, train, or improve a competing AI music, audio generation, or similar service without our written permission.
  • Bypass usage limits, credit systems, security controls, rate limits, or access restrictions.

We may remove content, limit access, suspend accounts, or terminate accounts if we believe these Terms have been violated.

8. Intellectual Property

The Services, including software, interfaces, design, text, graphics, logos, trademarks, features, workflows, models, documentation, and proprietary technology, are owned by AIMusicGens or our licensors and are protected by intellectual property laws.

Except for rights expressly granted in these Terms, we reserve all rights in the Services. You may not use our names, logos, trademarks, or branding without prior written permission.

If you provide feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation.

9. Copyright and DMCA Notices

If you believe content available through the Services infringes your copyright, you may send a notice to support@aimusicgens.com with:

  • Identification of the copyrighted work you claim has been infringed.
  • Identification of the material you claim is infringing and where it appears in the Services.
  • Your name, mailing address, telephone number, and email address.
  • A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • A statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on behalf of the owner.
  • Your physical or electronic signature.

We may remove or disable access to allegedly infringing material and may terminate repeat infringers where appropriate.

10. Third-Party Services

The Services may rely on or link to third-party services, providers, models, payment processors, infrastructure, storage, analytics tools, or websites. We are not responsible for third-party services, content, terms, or policies. Your use of third-party services may be subject to separate terms.

11. Beta Features

We may offer beta, preview, experimental, or limited-release features. These features may be incomplete, change without notice, produce unexpected results, or be removed at any time. Beta features are provided for evaluation and may be subject to additional limits.

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, create risk for us or others, fail to pay fees, misuse the Services, or if continued access would be unlawful or harmful.

After termination, sections that by their nature should survive will remain in effect, including ownership, payment obligations, disclaimers, limitations of liability, indemnity, dispute resolution, and general terms.

13. Disclaimers

The Services are provided "as is" and "as available" to the fullest extent permitted by law. We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

We do not guarantee that the Services will be uninterrupted, secure, error-free, or that Output will meet your expectations or be suitable for a particular use.

14. Limitation of Liability

To the fullest extent permitted by law, AIMusicGens and our affiliates, officers, employees, agents, partners, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost data, business interruption, loss of goodwill, or substitute services.

To the fullest extent permitted by law, our total liability for all claims relating to the Services or these Terms will not exceed the greater of the amount you paid to AIMusicGens for the Services in the three months before the claim arose or USD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless AIMusicGens and our affiliates, officers, employees, agents, partners, licensors, and service providers from claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from or related to:

  • Your use or misuse of the Services.
  • Your Input, Output, or other content.
  • Your violation of these Terms.
  • Your violation of law or third-party rights.
  • Your commercial use, publication, distribution, or monetization of Output.

16. Dispute Resolution

Before filing a claim, you and AIMusicGens agree to try to resolve the dispute informally by contacting support@aimusicgens.com. The notice should describe the dispute and requested resolution. If the dispute is not resolved within 30 days, either party may proceed as permitted below.

To the fullest extent permitted by law, disputes arising from or relating to these Terms or the Services will be resolved by binding individual arbitration rather than in court, except that either party may bring qualifying claims in small claims court or seek injunctive relief for intellectual property or unauthorized access.

You and AIMusicGens waive the right to a jury trial and agree that disputes will be handled only on an individual basis, not as a class action, class arbitration, representative action, or consolidated proceeding.

You may opt out of this arbitration and class waiver section by emailing support@aimusicgens.com within 30 days after you first accept these Terms and stating that you opt out of arbitration.

If this section is not enforceable in your jurisdiction, it will apply only to the extent permitted by law.

17. General Terms

These Terms, together with any additional policies or terms referenced in them, are the entire agreement between you and AIMusicGens regarding the Services.

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

If any part of these Terms is found unenforceable, the remaining parts will remain in effect. Our failure to enforce a provision is not a waiver.
